Terms of Service

NordiQ Intelligence is a product operated by Wisteria Inc. ("Wisteria", "we", "us", or "our").

1. Acceptance of Terms

By accessing or using NordiQ Intelligence (the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree, you may not use the Services.

2. Description of Services

NordiQ Intelligence is a cloud-based candidate intelligence and decision-support platform designed for executive search firms, recruitment agencies, in-house talent teams, and similar professional organizations.

The Services may include:

  • Structured candidate data extraction and normalization
  • Historical note analysis and intent classification
  • Candidate momentum scoring
  • Mandate-aware ranking and shortlist acceleration tools
  • Cross-source candidate rediscovery workflows
  • AI-assisted summarization and decision support
  • Secure storage of candidate files and notes
  • Integrations with ATS platforms and external systems
  • OCR and document parsing services

The Services are designed to enhance recruitment workflows, not to replace professional judgment or assume responsibility for hiring decisions.

We may modify or improve the Services at any time.

3. Account Registration

You must provide accurate and complete registration information.

You are responsible for:

  • Maintaining credential confidentiality
  • All activity under your account
  • Promptly notifying us of unauthorized access

You must be at least 18 years old.

We may suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree to use the Services lawfully and professionally.

You may not:

  • Upload unlawful, harmful, or infringing content
  • Violate employment, discrimination, or privacy laws
  • Attempt unauthorized system access
  • Interfere with service operations
  • Use the Services for spam or deceptive practices
  • Reverse engineer or copy the platform

You are solely responsible for ensuring that your use of the Services complies with all applicable employment, privacy, and anti-discrimination laws.

5. Data Ownership and Processing

5.1 Ownership

You retain full ownership of all candidate data, notes, documents, and other materials you upload ("Customer Data").

We claim no ownership rights in your Customer Data.

5.2 Purpose of Processing

We process Customer Data solely to:

  • Structure and analyze candidate information
  • Provide ranking, summarization, and rediscovery features
  • Deliver secure storage and retrieval functionality
  • Improve system performance and reliability

We do not sell Customer Data. We do not use Customer Data to train public AI models.

5.3 AI Processing and Third-Party Providers

Certain AI-powered features rely on third-party AI infrastructure, including APIs provided by OpenAI.

  • Raw candidate notes and documents may be transmitted to OpenAI for processing.
  • Processing may occur in the United States.
  • OpenAI API services are used under contractual terms prohibiting model training on Customer Data.
  • We maintain appropriate contractual safeguards with subprocessors.

5.4 Infrastructure and Subprocessors

We rely on trusted infrastructure providers, including:

  • Amazon Web Services (primary hosting - Canada, Montreal region)
  • Google Cloud (OCR processing)
  • OpenAI (AI analysis - U.S.)

Primary databases and backups are hosted in Canada (Montreal region). Some processing may occur outside Canada where required for AI services.

5.5 Data Security

We implement commercially reasonable safeguards, including:

  • Encryption in transit and at rest
  • Access controls
  • Logical separation between customer accounts
  • Regular system monitoring

No system can be guaranteed fully secure.

6. Recruitment Decision Disclaimer

NordiQ Intelligence provides decision-support tools only.

We:

  • Do not make hiring decisions
  • Do not guarantee candidate suitability
  • Do not guarantee hiring outcomes
  • Do not ensure compliance with employment laws

Customers remain solely responsible for:

  • Candidate evaluation
  • Interview processes
  • Equal opportunity compliance
  • Bias mitigation
  • Final hiring decisions

You agree that you will not rely solely on automated outputs when making employment decisions.

7. Subscription and Billing

The Services are provided on a subscription basis.

Pricing may be based on usage metrics, including candidate data volume. Specific pricing details may change over time.

Fees are billed in advance.

We may modify pricing with 30 days' notice.

You may cancel at any time. Cancellation takes effect at the end of the billing cycle.

We do not provide refunds for partial billing periods unless required by law.

We may suspend Services for non-payment.

8. Service Availability and SLA

We target 99.5% monthly uptime, excluding:

  • Scheduled maintenance
  • Force majeure events
  • Third-party service failures

We will provide reasonable advance notice for scheduled maintenance.

Support levels may vary by subscription plan.

This uptime target is a service objective, not a financial guarantee unless explicitly agreed in writing.

9. Data Retention and Deletion

Upon termination:

  • Access to the Services ends immediately.
  • We will retain Customer Data for up to 30 days to allow export.
  • After that period, Customer Data will be permanently deleted from active systems.
  • Backup deletion may occur in accordance with standard backup cycles.

You are responsible for exporting your data prior to deletion.

10. Intellectual Property

All platform software, algorithms, scoring systems, workflows, and interfaces remain the exclusive property of Wisteria Inc.

We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription.

You may not:

  • Reverse engineer
  • Copy or resell
  • Create derivative works

Feedback may be used without obligation.

11. Confidentiality

We will treat Customer Data as confidential and will not disclose it except:

  • As required to provide the Services
  • As required by law
  • With your consent

You agree to protect access to candidate data within your organization.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICES ARE PROVIDED "AS IS"
  • WE DISCLAIM ALL IMPLIED WARRANTIES
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY IS LIMITED TO THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

This limitation does not apply where prohibited by law.

13. Indemnification

You agree to indemnify Wisteria Inc. against claims arising from:

  • Your misuse of the Services
  • Your violation of employment or privacy laws
  • Candidate disputes related to hiring decisions
  • Content you upload

14. Governing Law

These Terms are governed by the laws of Quebec and applicable federal laws of Canada.

Disputes shall be resolved in Montreal, Quebec, unless otherwise agreed.

We may update this clause as we expand internationally.

15. Modifications

We may modify these Terms at any time. Material changes will be communicated via email or in-product notice.

Continued use constitutes acceptance.
